Acceptance of Agreement
These Terms of Use (“Terms”) are a binding agreement between you (“you,” “User”) and NeoShade AI (“NeoShade,” “we,” “us,” “our”) governing your access to and use of our websites, experimental apps, content, and related services we control (collectively, the “Platform”). By accessing or using the Platform, you confirm that you are at least 18 years old and that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

1) Changes to these Terms

We may update these Terms from time to time. The “Last Updated” date shows the current version. Continued use of the Platform after changes means you accept the updated Terms.

2) What NeoShade Is (and Isn’t)

  • Personal project, active R&D. The Platform hosts experimental features, prototypes, and creative works. Functionality may change, break, or be discontinued.
  • No financial services. NeoShade does not provide brokerage, exchange, automated trading, money transmission, investment advisory, or fiduciary services.
  • No offer/solicitation. Nothing on the Platform is an offer to sell or a solicitation to buy any token, security, or other financial instrument.
  • Tokenization (exploratory). We may explore cryptographic access/governance mechanisms later. If introduced, access may require eligibility checks (e.g., AML/KYC), may be unavailable in some jurisdictions, and no expectation of profit should be assumed.

3) Eligibility & Accounts

You must be at least 18 to use the Platform. You are responsible for safeguarding your credentials and any wallets or keys you choose to connect. You agree to notify us promptly of any suspected unauthorized use. You are responsible for all activity under your account.

4) Acceptable Use

You agree not to:

  • Violate any applicable law, regulation, sanctions, or export controls.
  • Access, probe, or disrupt any part of the Platform or related systems without authorization.
  • Upload or transmit malware, exploits, or harmful code; attempt to bypass security or rate limits.
  • Scrape, harvest, or collect data except as permitted by robots rules or explicit written permission.
  • Misrepresent your identity or affiliation; infringe IP or privacy rights; engage in harassing or abusive conduct.
  • Use any feature in a manner that creates legal or security risk for NeoShade or other users.

We may suspend or terminate access for violations, suspected abuse, or to protect users or the Platform.

5) Experimental Features & Third-Party Services

The Platform may link to or integrate third-party tools (APIs, models, KYC providers, media embeds). We don’t control third-party content or policies and aren’t responsible for outages, accuracy, or security beyond our reasonable control. Your use of third-party services may be subject to their terms.

6) Intellectual Property & Feedback

All content, code (unless separately licensed), designs, trademarks, and media on the Platform are owned by NeoShade or its licensors and protected by IP laws. Unless we say otherwise in a specific license, your use is limited to personal, non-commercial access.
If you submit suggestions or feedback, you grant NeoShade a non-exclusive, worldwide, royalty-free license to use and incorporate them without obligation to you.

7) Content You Provide

If you upload or submit content, you represent that you have the rights to do so and that your content complies with these Terms and applicable law. You retain your rights, but you grant NeoShade a license to host and display your content for Platform operation. We may remove content we reasonably believe violates these Terms.

8) Privacy

Our Privacy Policy explains what we collect and why, including security logs and limited analytics. By using the Platform, you agree to our data practices as described there.

9) Disclaimers

  • As-is. The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy.
  • No advice. Nothing on the Platform is legal, medical, financial, investment, or psychological advice. Use qualified professionals for decisions that matter.
  • Beta risks. Experimental features may contain bugs or interruptions. Back up anything important before use.

10) Limitation of Liability

To the fullest extent permitted by law, NeoShade and its contributors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption, arising out of or relating to the Platform or these Terms, even if advised of the possibility. Our aggregate liability for any claim is limited to US$100.

Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the maximum extent permitted by law.

11) Indemnification

You agree to defend, indemnify, and hold harmless NeoShade and its contributors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms or applicable law; or (c) your content or misuse of third-party rights.

12) Suspension & Termination

We may suspend or terminate access to all or part of the Platform at any time, with or without notice, including for maintenance, security, legal compliance, or violations of these Terms. You may stop using the Platform at any time.

13) Export, Sanctions & Regional Restrictions

Access to certain features may be restricted where prohibited by law, including U.S. export controls and sanctions. We may block or limit access to comply with legal obligations.

14) Governing Law & Venue

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state or federal courts located in Florida for any dispute that is not subject to informal resolution.

15) Informal Resolution

Before filing any claim, you agree to first contact us at Admin@Neo-Shade.com and attempt to resolve the dispute informally within 30 days. If we cannot resolve it, you may pursue permissible remedies in court as provided above.

16) Miscellaneous

  • Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and NeoShade regarding the Platform.
  • Severability. If any term is unenforceable, the remainder remains in effect.
  • No Waiver. Failure to enforce a term is not a waiver.
  • Assignment. You may not assign these Terms. We may assign them in connection with a reorganization or transfer of the project.
